OVERVIEW

Welcome to EFNBN Store. EFNBN Store is operated by Kito.io LLC. The terms “EFNBN Store,” “we,” “us,” and “our” refer to Kito.io LLC.

We operate this online store and its related information, content, features, tools, products, and services to provide customers with a curated shopping experience (the “Services”). The Services are powered by Shopify.

These Terms of Service, together with any policies referenced herein, describe your rights and responsibilities when you access or use the Services.

Purchases from EFNBN Store are commercial transactions and are not donations or tax-deductible charitable contributions. Store proceeds help Kito.io LLC operate, develop, and expand EFNBN.com. No portion of a purchase is represented as being contributed to a specific nurse, healthcare institution, charitable organization, or program.

These Terms govern this Shopify storefront and purchases made through it. Use of the separate EFNBN.com nursing-community platform may be governed by its own terms, privacy notices, and participation rules.

Please read these Terms carefully because they include important information about your legal rights, warranty disclaimers, and limitations of liability.

SECTION 1 — ACCESS AND ACCOUNTS

By agreeing to these Terms, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence. You also represent that you have given any necessary consent for minor dependents to use the Services on devices that you own, purchase, or manage.

To access or use certain Services, including purchasing products, you may be asked to provide information such as your email address, billing information, payment details, and shipping information.

You represent that all information you provide is accurate, current, and complete and that you have the necessary authority to provide that information.

You are responsible for maintaining the security of your account credentials and for activity conducted through your account. You may not sell, transfer, assign, or license your account to another person.

SECTION 2 — OUR PRODUCTS

We make reasonable efforts to represent products accurately. However, product colors and appearance may vary because of screen settings, device characteristics, manufacturing differences, garment materials, printing processes, and other factors.

We do not guarantee that the appearance, fit, color, or quality of a product will exactly match its digital image, mockup, or rendering.

Customers are responsible for reviewing product descriptions, measurements, sizing information, colors, personalization details, shipping information, and order selections before purchasing.

Product descriptions, availability, prices, designs, and specifications may be changed without notice. We may discontinue products or limit the quantities available to any person, geographic region, or jurisdiction.

SECTION 3 — ORDERS

When you place an order, you are making an offer to purchase. EFNBN Store may accept, decline, modify, or cancel an order when reasonably necessary, including in cases involving suspected fraud, payment problems, pricing errors, product unavailability, fulfillment limitations, or shipping restrictions.

An order is not accepted until payment has been authorized and we have confirmed the order.

Please review your order carefully before submitting it. Certain products are made to order, and production may begin shortly after confirmation. Consequently, changes and cancellations cannot be guaranteed after an order has been submitted.

Certain products are manufactured, printed, packaged, and shipped by third-party production and logistics providers, including Printful. These providers receive the information necessary to produce and deliver your order.

If we decline, modify, or cancel an order, we will attempt to notify you using the email address, billing address, shipping address, or telephone number provided with the order.

You represent that purchases are for lawful personal or household use and not for unauthorized commercial resale or export.

SECTION 4 — PRICES AND BILLING

Prices, discounts, and promotions may change without notice. The price charged will be the price displayed when the order is placed and will be stated in the order confirmation.

Unless expressly stated otherwise, displayed prices do not include applicable taxes, shipping charges, handling charges, customs duties, brokerage fees, or import charges.

You are responsible for providing current, complete, and accurate purchase, billing, payment, and account information.

You represent that:

The payment information you provide is accurate and complete.
You are authorized to use the selected payment method.
Charges incurred through your selected payment method will be honored.
You will pay all applicable product prices, shipping charges, taxes, customs charges, and other disclosed fees.

Promotions may be governed by additional terms. If promotional terms conflict with these Terms, the promotional terms will govern that promotion.

SECTION 5 — SHIPPING AND DELIVERY

Products may be fulfilled and shipped by third-party providers, including Printful, and may be produced or shipped from different locations.

Production and delivery dates are estimates and are not guaranteed. Shipping may be affected by product availability, production capacity, destination, carrier operations, weather, customs processing, public emergencies, and other circumstances outside our reasonable control.

We are not responsible for carrier or customs delays outside our control. Customers are responsible for providing a complete and accurate delivery address.

Where permitted by law, title and risk of loss pass to the customer when the order is transferred to the shipping carrier. Nothing in this section limits rights that cannot lawfully be limited under applicable consumer-protection laws.

SECTION 6 — INTELLECTUAL PROPERTY

The Services and their content, including trademarks, names, logos, text, graphics, photographs, product designs, videos, audio, software, interfaces, and the arrangement of such materials, are owned by or licensed to Kito.io LLC and are protected by applicable intellectual-property laws.

These Terms permit you to use the Services for lawful personal, noncommercial purposes. Unless expressly authorized in writing, you may not reproduce, distribute, modify, publish, publicly display, publicly perform, republish, download, store, sell, license, or transmit protected materials from the Services.

EFNBN, EFNBN Store, EFNBN.com, associated logos, product names, designs, and slogans are trademarks, service marks, or protected brand assets owned by or licensed to Kito.io LLC. You may not use them without prior written authorization.

Shopify’s names, logos, products, designs, and slogans belong to Shopify or its licensors. Other names, logos, products, and slogans displayed through the Services belong to their respective owners.

SECTION 7 — OPTIONAL TOOLS

We may provide access to tools or services operated by third parties. We do not necessarily monitor, control, or have input into those tools.

Access to third-party tools is provided “as is” and “as available,” without warranties, representations, endorsements, or conditions of any kind from us.

Your use of third-party tools is at your own discretion and risk. You should review and understand the applicable third-party terms and privacy practices before using them.

New tools, resources, and features offered through the Services may also be subject to these Terms.

SECTION 8 — THIRD-PARTY LINKS AND SERVICES

The Services may include links, content, integrations, or functionality provided by third parties.

We are not responsible for evaluating or guaranteeing the accuracy, security, completeness, availability, or reliability of third-party websites, materials, products, or services.

If you leave the Services to access a third-party website or service, you do so at your own risk. Review the third party’s policies and terms before engaging in a transaction or providing personal information.

Questions or claims relating exclusively to third-party products or services should also be directed to the applicable third party. This does not eliminate any responsibility EFNBN Store may have to its customers under applicable law.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

EFNBN Store is powered by Shopify, which provides technology that enables us to offer the Services.

Sales and purchases made through EFNBN Store are transactions directly between you and EFNBN Store. Shopify is not the seller of products offered through this store and is not responsible for the products, fulfillment, or transactions between you and EFNBN Store.

To the extent permitted by applicable law, you release Shopify and its affiliates from claims, damages, and liabilities arising exclusively from products purchased from or transactions conducted with EFNBN Store.

Because Shopify hosts the Services, Shopify processes information related to your access and use of the store. Information submitted through the Services may also be transmitted to service providers and fulfillment partners, including parties located outside your country of residence, when necessary to operate the store, process payments, prevent fraud, manufacture products, fulfill orders, arrange delivery, provide customer support, or comply with legal obligations.

SECTION 11 — FEEDBACK, REVIEWS, AND THANK-A-NURSE MESSAGES

If you submit product reviews, suggestions, proposals, ideas, or other feedback relating to the store or its products (“Feedback”), you grant Kito.io LLC a worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, distribute, and display that Feedback for legitimate business purposes, including operating, evaluating, improving, and promoting the Services.

You represent that:

You own or possess the rights necessary to submit the Feedback.
You have disclosed any compensation or incentive connected with the Feedback.
Your Feedback does not violate the rights of another person.
Your Feedback is not knowingly false, unlawful, defamatory, abusive, obscene, malicious, or harmful.
Your Feedback does not contain malware or harmful code.

We may monitor, edit, decline, or remove Feedback that violates these Terms or applicable law. We are not required to keep ordinary product Feedback confidential, pay compensation for it, or respond to it.

Personal messages submitted through the “Thank a Nurse” feature are not treated as product Feedback under this section. Those messages will be processed and shared only according to the notice, choices, and consent presented during submission and our applicable Privacy Policy.

Submitting a Thank-a-Nurse message does not create an employment, healthcare, charitable, fiduciary, or professional relationship between you, Kito.io LLC, EFNBN Store, EFNBN.com, or any nurse.

Do not include protected health information, medical records, patient-identifying information, confidential employment information, or other sensitive information in a Thank-a-Nurse message.

SECTION 12 — ERRORS, INACCURACIES, AND OMISSIONS

Information presented through the Services may occasionally contain errors, inaccuracies, or omissions involving product descriptions, pricing, promotions, availability, shipping charges, transit times, or other information.

We may correct errors, update information, or cancel affected orders when reasonably necessary, including after an order has been submitted. If an accepted order is canceled because of our error, amounts paid for the canceled portion will be refunded as required by law.

SECTION 13 — PROHIBITED USES

You may access and use the Services only for lawful purposes.

You may not use the Services:

For unlawful, fraudulent, deceptive, or malicious purposes.
To violate applicable laws, regulations, rules, or ordinances.
To infringe our rights or the rights of another person.
To harass, threaten, abuse, defame, intimidate, or harm another person.
To submit false, misleading, or deceptive information.
To distribute spam, junk mail, chain letters, or unauthorized solicitations.
To impersonate another person or misrepresent your identity or affiliation.

To interfere with or circumvent security, access controls, rate limits, robot-exclusion controls, or authentication systems.
To scrape, extract, reproduce, resell, or exploit the Services or their content without authorization.
To interfere with another person’s ability to use the Services.

We may suspend or terminate access when we reasonably determine that these Terms have been violated.

SECTION 14 — AUTOMATED AGENTS

This section applies when you deploy or authorize software that autonomously or semi-autonomously accesses or interacts with the Services (“Agent”).

An Agent may not access or interact with the Services when prohibited by us or when its access violates applicable law, these Terms, published technical controls, or instructions provided through the Services.

An Agent must:

Identify itself as automated software when making requests.
Provide an accurate agent name in its user-agent information when technically supported.
Not conceal its automated nature or falsely imitate human activity.
Not bypass CAPTCHAs, access restrictions, rate limits, or other protective measures.
Respond truthfully when asked whether an interaction is automated.
Comply with requests or technical measures restricting automated access.

We may use technical measures to control, restrict, or block automated access.

SECTION 15 — TERMINATION

We may suspend or terminate your access to some or all of the Services when reasonably necessary, including for violations of these Terms, fraud, abuse, security concerns, or legal compliance.

Termination does not eliminate payment obligations or liabilities that arose before termination.

Provisions that by their nature should survive termination will remain effective, including provisions relating to intellectual property, privacy, feedback, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

SECTION 16 — DISCLAIMER OF WARRANTIES

Information made available through the Services is provided for general informational purposes. We do not guarantee that all information will always be complete, current, accurate, or suitable for a particular purpose.

To the fullest extent permitted by law, the Services and products are provided “as is” and “as available” without representations, warranties, or conditions of any kind, whether express or implied, including implied warranties of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and noninfringement.

We do not guarantee that access to the Services will be uninterrupted, timely, secure, or error-free.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

SECTION 17 — LIMITATION OF LIABILITY

To the fullest extent permitted by law, Kito.io LLC, EFNBN Store, our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers will not be liable for indirect, incidental, punitive, special, exemplary, or consequential damages, including lost profits, lost revenue, lost savings, loss of data, or replacement costs arising from your use of the Services or products purchased through them.

This limitation applies regardless of whether a claim is based on contract, tort, negligence, strict liability, or another legal theory and regardless of whether we were advised that such damages were possible.

Nothing in these Terms excludes or limits liability when doing so is prohibited by applicable law.

SECTION 18 — INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Kito.io LLC, EFNBN Store, Shopify, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party losses, damages, liabilities, claims, and reasonable legal expenses arising from:

Your material breach of these Terms.
Your unlawful use of the Services.
Your violation of another person’s rights.
Content you knowingly submit in violation of these Terms.

We will provide reasonable notice of an indemnifiable claim. Failure to provide prompt notice does not eliminate your obligations unless the delay materially prejudices your defense.

We may control the defense and settlement of the claim at your expense, but we will not agree to a settlement imposing nonmonetary obligations upon you without your reasonable consent. You agree to cooperate in the defense of applicable claims.

SECTION 19 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the greatest extent permitted by law or severed to the minimum extent necessary.

The remaining provisions will continue in effect.

SECTION 20 — WAIVER AND ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision does not constitute a waiver of that right or provision.

These Terms and the policies referenced in them constitute the entire agreement between you and us concerning the Shopify storefront and supersede prior or contemporaneous communications or proposals relating to the Services.

Any ambiguity will not automatically be interpreted against the party that drafted these Terms.

SECTION 21 — ASSIGNMENT

You may not assign, delegate, or transfer these Terms or your rights or obligations under them without our prior written consent.

We may assign or transfer these Terms and related rights or obligations as part of a merger, acquisition, restructuring, financing, sale of assets, or other legitimate business transaction, subject to applicable law.

SECTION 22 — GOVERNING LAW

These Terms and agreements relating to the Services are governed by the laws of the State of North Carolina and applicable federal laws of the United States, without regard to conflict-of-law principles.

Except where mandatory consumer law provides otherwise, you consent to the jurisdiction of the applicable state and federal courts located in North Carolina.

Headings are provided for convenience and do not limit or otherwise affect the meaning of these Terms.

SECTION 24 — CHANGES TO THESE TERMS

You may review the current version of these Terms on this page.

We may update these Terms to reflect changes to the Services, our practices, applicable laws, or other operational requirements.

Material changes will be communicated when required by applicable law. Updated Terms become effective on the date stated in the notice or, when no separate date is stated, when published.

Your continued use of the Services after updated Terms become effective constitutes acceptance of those changes to the extent permitted by law.
